Terms of Service

1. Agreement

These terms govern your use of PropAI PH. By creating an account or using the service you accept them. If you are accepting on behalf of a brokerage, you confirm you are authorised to bind it.

2. Eligibility

You must be at least 18, and you must hold whatever licence or authority Philippine law requires for the real estate activity you conduct. You are responsible for that compliance; we do not verify licences.

3. Your account

Keep your credentials confidential. You are responsible for everything done through your account and for every message sent from your connected Page, including automated ones. Notify us immediately of unauthorised access.

4. Your content and your instructions

You keep ownership of your listings, photos, and documents. You grant us a limited licence to host and process them solely to provide the service. You confirm you have the right to upload everything you upload, including photographs and documents relating to third parties, and that you have a lawful basis to process your buyers' personal data.

5. Acceptable use

You must not use the service to send spam or unsolicited bulk messages; to advertise property you are not authorised to market; to make false or misleading claims about a property, its price, or its title; to discriminate unlawfully against any buyer; to circumvent Meta's platform policies; or to process sensitive personal information the service is not designed to hold. We may suspend an account that does.

6. Automated replies are not offers

Replies generated by the service are informational. They are not offers, reservations, contracts, or binding commitments, and they do not create an agency relationship between us and any buyer. You are responsible for reviewing conversations and for the content of what your Page sends. We are not a party to any transaction that results.

7. Fees, trial, and cancellation

Plans and prices are those published on our site. The free trial runs 14 days with the stated allowances and requires no card. During early access, paid plans are invoiced manually (GCash or bank transfer) rather than billed through an automated subscription. Conversation allowances are subject to fair use: every plan carries a monthly allowance appropriate to normal broker volume, and if you exceed it consistently we will contact you rather than issue a surprise charge. You may cancel at any time, effective at the end of the period you've already paid for. Except where required by the Consumer Act (RA 7394) or other Philippine law, fees already paid are non-refundable. We will give at least 30 days' notice of a price change.

8. Third-party platforms

The service depends on Meta's platforms and on third-party AI providers. Your use of Messenger remains subject to Meta's own terms. We are not responsible for their outages, policy changes, or decisions about your Page or account.

9. Availability

We aim for continuous availability but do not guarantee it, and we do not currently offer a contractual uptime commitment. Planned maintenance will be announced in advance where practical.

10. Warranties and disclaimers

The service is provided on an "as is" and "as available" basis. To the fullest extent permitted by Philippine law, we disclaim implied warranties of merchantability and fitness for a particular purpose. Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for fraud, or rights you have as a consumer under RA 7394.

11. Limitation of liability

To the extent permitted by law, we are not liable for lost profits, lost sales, lost data, or indirect or consequential loss. Our total aggregate liability arising out of the service in any 12-month period is limited to the fees you paid us in that period.

12. Indemnity

You will indemnify us against claims arising from your breach of these terms, your unlawful use of the service, or content you uploaded that infringes a third party's rights.

13. Suspension and termination

We may suspend or terminate an account for breach of these terms, for unlawful use, or where required by Meta or by law. You may terminate at any time. On termination we delete or anonymise your data on the schedule in the Privacy Policy, except where we must retain records for tax or legal purposes.

14. Data Processing terms

Where we process buyer data as your Processor, we will: act only on your documented instructions; keep the data confidential; apply the security measures described in our Security page; engage sub-processors only under equivalent obligations; assist you with data subject requests and breach notifications; and on termination delete or return the data at your choice. This section is intended to satisfy the outsourcing and subcontracting requirements of the DPA IRR.

15. Changes to these terms

We will post changes here and notify account holders of material changes at least 30 days before they take effect. Continuing to use the service after that constitutes acceptance.

16. Governing law

These terms are governed by the laws of the Republic of the Philippines. The courts of Batangas City have exclusive jurisdiction, without prejudice to any right you have to bring proceedings elsewhere under mandatory consumer law.
